Suntory Holdings Ltd SUNTH.UL said on Monday it plans to buy Beam Inc (BEAM.N), paying $13.6 billion (£8.27 billion) in cash for the shares to make the Japanese company the world's third-largest maker of distilled drinks.

Including the assumption of Beam's debt, the deal is worth $16 billion (£9.7 billion) and is expected to close in the second quarter.

The acquisition brings together Beam's Jim Beam and Maker's Mark bourbons, Courvoisier cognac and Sauza tequila with Suntory's Yamazaki, Hakushu, Hibiki and Kakubin Japanese whiskies, Bowmore Scotch whisky and Midori liqueur.

Suntory will pay $83.50 per share in cash, a 25 percent premium to Beam's closing share price of $66.97 on Friday.

Beam's chief executive Matt Shattock and the current Beam management team will continue to lead the business from its headquarters outside Chicago, Illinois, the two companies said.

The two already had a business relationship under which Suntory distributes Beam products in Japan and Beam distributes Suntory's products in Singapore and other Asian markets.

Suntory intends to fund the acquisition through a combination of cash on hand and fully committed financing from The Bank of Tokyo-Mitsubishi UFJ.

Mitsubishi UFJ Morgan Stanley is acting as financial advisor to Suntory and Cleary Gottlieb Steen & Hamilton LLP is acting as legal advisor. Centerview Partners and Credit Suisse are serving as financial advisors to Beam and Sidley Austin LLP is serving as legal advisor.

Also affects Bruichladdich, itself just acquired by Beam Inc. It's like one of those cartoons with the small fish eaten by a bigger one, eaten by a bigger one still!

Was it not Remy Cointreau that acquired Bruichladdich or have i missed something.

are those cask strength SMWS bottlings starting to effect the memory Smile

I added a piece on this to the whisky news section of the main site this morning

I wonder if we will see more limited releases now from Laphroaig similar to what Morrison Bowmore do with their Bowmore, Auchentoshan and Glen Garioch brands.

Laughing bifter I thought it was my memory acting up, i was even searching google for the Beam takeover of Bruichladdich.

William hopefully it does generate some interesting and affordable to drink limited releases of Laphroaig the same as what Bowmore does with their brands each year.

Yes hopefully Suntorys takeover will mean they apply the Morrison Bowmore marketing style to the Laphroaig and we will see some affordable to drink limited releases. I will suggest a decent cask strength sherried finished Laphroaig if anyone from Suntory is watching. Smile

Just a short update on Suntorys acquisition of Beam.

This week stockholders of Beam Inc. formally approved the pending $16 billion acquisition of Beam by Suntory Holdings. Suntorys acquisition of Beam is now on track for completion during week of April 28th.
